These Terms of Service ("Terms") govern your access to and use of the Cinetech platform, operated by Cinetech, LLC ("Cinetech," "we," "our," or "us"), available at cinetech.ai. Please read these Terms carefully before using the platform. By creating an account or using Cinetech, you agree to be bound by these Terms. If you do not agree, you may not use the platform.

1. Acceptance of Terms

By accessing or using Cinetech, you confirm that you are at least 18 years of age, or between 13 and 18 with verifiable parental or guardian consent. You represent that you have the legal authority to enter into these Terms, either on your own behalf or on behalf of an organization. If you are using Cinetech on behalf of a company or production entity, you agree to these Terms on that entity's behalf.

2. Description of Service

Cinetech is a cloud-based AI-powered production management platform designed for creators across film, television, video production, and multimedia — from solo content creators and podcasters to full production companies and professional film crews. The platform includes tools for script upload and breakdown, AI-generated storyboards and animatics, production scheduling, call sheet creation and distribution, shot list building, team collaboration, and an AI production assistant.

Features, pricing, and availability may change as the platform evolves. We will make reasonable efforts to notify users of material changes.

3. Accounts & Access

Registration: You must create an account to use Cinetech. You agree to provide accurate, current, and complete information and to keep your account information up to date.

Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@cinetech.ai if you suspect unauthorized access.

One Account Per User: You may not create multiple accounts or share account credentials with others outside of the platform's collaborator features.

Account Termination: We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in conduct harmful to other users or the platform.

4. Subscriptions & Payments

Paid Plans: Certain features require a paid subscription or the purchase of credits. Subscription fees are billed in advance on a monthly or annual basis as selected at signup.

Payment Processing: All payments are processed securely by Stripe. By providing payment information, you authorize Stripe to charge your payment method for applicable fees.

Refunds: Subscription fees are generally non-refundable except where required by applicable law. If you believe you have been charged in error, please contact support@cinetech.ai within 30 days.

Plan Changes: You may upgrade, downgrade, or cancel your subscription at any time. Changes take effect at the start of the next billing period. Cancellation stops future charges but does not entitle you to a refund for the current period.

Credits: Purchased credits are non-refundable and do not expire as long as your account remains active.

5. Your Content & Intellectual Property

Ownership: You retain full ownership of all content you upload to or create on Cinetech, including scripts, storyboards, schedules, call sheets, shot lists, and any other production materials ("Your Content").

License to Cinetech: By uploading or creating content on the platform, you grant Cinetech a limited, non-exclusive license to store, process, and display Your Content solely as necessary to provide the service to you. We do not claim any ownership rights over Your Content.

AI-Generated Outputs: Content generated by AI features on Cinetech — including storyboard images, script breakdowns, and schedules — is produced for your use and remains yours. We do not use your content or AI outputs to train AI models.

Cinetech IP: All platform software, design, trademarks, logos, and proprietary tools are the intellectual property of Cinetech, LLC. You may not copy, modify, distribute, or create derivative works from any Cinetech platform components without explicit written permission.

6. Acceptable Use

You agree not to use Cinetech to:

- Violate any applicable law, regulation, or third-party rights
- Upload or distribute content that is unlawful, infringing, defamatory, or harmful
- Attempt to gain unauthorized access to the platform, other user accounts, or Cinetech's infrastructure
- Introduce viruses, malware, or other malicious code
- Scrape, crawl, or use automated tools to access the platform without authorization
- Resell, sublicense, or commercially redistribute Cinetech's services without written permission
- Circumvent subscription or credit systems, or abuse free trial access

We reserve the right to investigate and take appropriate action, including account suspension, for violations of these policies.

7. Collaborators & Team Access

Cinetech allows you to invite collaborators to your projects. By inviting collaborators, you grant them access to the project data within that shared workspace. You are responsible for the collaborators you invite and their compliance with these Terms.

You may remove collaborators at any time. Cinetech is not responsible for data shared with collaborators prior to their removal.

8. Privacy

Your use of Cinetech is also governed by our Privacy Policy, available at cinetech.ai/privacy. The Privacy Policy explains how we collect, use, and protect your data, including how we handle scripts and production materials processed through our AI features. By using Cinetech, you agree to the data practices described in the Privacy Policy.

9. Disclaimer of Warranties

The Cinetech platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free from security vulnerabilities. AI-generated outputs — including storyboards, script breakdowns, and schedules — are provided for creative assistance and should be reviewed for accuracy before use in production.

To the fullest extent permitted by law, Cinetech disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Cinetech, LLC and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform, including loss of data, loss of production materials, or lost profits.

In no event shall Cinetech's total liability to you for all claims exceed the amount you paid to Cinetech in the twelve months preceding the event giving rise to the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cinetech, LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the platform, your violation of these Terms, your violation of any third-party rights, or any content you upload or create on the platform.

12. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you by email. Your continued use of the platform after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you should stop using the platform and may cancel your account.

13. Termination

You may stop using Cinetech and delete your account at any time. We may suspend or terminate your access to the platform at our discretion, with or without notice, if you violate these Terms or if we discontinue the service.

Upon termination, your right to access the platform ceases immediately. You may request an export of your project data before termination. We will retain your data for 30 days after account deletion before permanently removing it, except where required by law.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

Before initiating any legal action, you agree to contact us at support@cinetech.ai and attempt to resolve the dispute informally for at least 30 days.
